Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the MealOps platform, website, and related services (collectively, the "Service") provided by MealOps ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

MealOps is a business-to-business software-as-a-service platform that provides operations management tools for food service operators, including menu management, order processing, analytics, and multi-location coordination. The Service is intended for use by businesses and authorized representatives, not individual consumers.

3. Accounts and Access

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

Access to the Service is provided under a subscription agreement. Fees, billing cycles, and payment terms are specified in your service order or licensing agreement. All fees are non-refundable unless otherwise stated in your agreement. We may update pricing with reasonable notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute access to the Service without authorization

6. Intellectual Property

The Service, including all software, content, trademarks, and documentation, is owned by MealOps and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.

7. Data Ownership

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the Service. We will not sell Customer Data to third parties.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, MealOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total aggregate liability shall not exceed the amounts paid by you to MealOps in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

Either party may terminate the subscription as specified in the service order. We may suspend or terminate access immediately for material breach of these Terms. Upon termination, your right to use the Service ceases. We will make Customer Data available for export for 30 days following termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
